Kali Transcribe — Terms of Use (EULA)

These Terms of Use (the “Terms”) govern your use of the Kali TranscribeiOS application and the related backend service operated by KALI INDIE (the “Service”). By opening the app or completing a purchase you agree to be bound by these Terms and by Apple's Standard EULA for Licensed Application End Users, which is incorporated by reference. Where the two documents conflict, these Terms control for matters specific to the Service.

1. The Service

Kali Transcribe converts uploaded audio files into text using Deepgram's prerecorded transcription API. Output quality depends on audio clarity, language coverage, and provider availability. The Service is provided on an “as is” and “as available” basis.

2. Account & guest trial

• When you open the app for the first time, an anonymous “guest” account is created automatically and tied to your device through a random identifier stored in the iOS Keychain. No login is required to start transcribing or to subscribe.
• Optional Apple ID backup. From the Profile screen you can tap Back up & sync with Apple to link your guest account to your Apple ID via Sign in with Apple. Linking enables you to restore your transcripts, subscription and remaining credits on another iPhone, after deleting the app or after resetting the device. You can unlink the Apple ID at any time without losing data that lives on the current device.
• If you choose not to link an Apple ID and you later sell, give away or reset your iPhone, the data tied to the previous device cannot be recovered. The in-app library and credit balance live only on the linked account, not in iCloud.
• New accounts receive a guest trial of 5 minutes of transcription, valid for 7 days. The guest trial ends as soon as either limit is reached. This is separate from any App Store introductory offer on Kali Pro (see section 3).
• The guest trial is granted once per device (via the identifier stored in the iOS Keychain). Deleting your account and creating a new guest profile on the same device does not restore guest-trial minutes or extend the 7-day window.
• Guest-trial minutes are independent of paid minutes and cannot be combined or transferred between accounts.

3. Subscription — auto-renewable

• Plan: Kali Pro Monthly, USD 3.99 / month, grants 200 transcription minutes per billing cycle.
• Introductory offer. Eligible new subscribers may receive a 3-day free trialof Kali Pro through Apple's App Store. During the trial you have full Pro access (200 minutes for that billing period). Apple shows the exact price and trial terms on the purchase sheet before you confirm.
• Billing. If you start the introductory offer, your Apple ID is charged USD 3.99 when the 3-day trial ends, unless you cancel at least 24 hours before the trial ends. If you are not eligible for the introductory offer (for example, you previously subscribed with the same Apple ID), payment is charged at confirmation of purchase.
• Auto-renewal.The subscription renews automatically each month for USD 3.99 unless you cancel at least 24 hours before the end of the current period. Apple will charge the renewal within 24 hours prior to the end of the current period.
• Management & cancellation.You can review, manage and cancel the subscription at any time in  Settings → Apple ID → Subscriptions on the same Apple ID used to purchase. Cancellation stops future renewals; the current period (including any active introductory trial) remains usable until expiry.
• Starting Kali Pro immediately ends any remaining guesttrial minutes (section 2).
• Unused subscription minutes do not roll over to the next billing cycle.

4. Add-on minute packs

• Add-on packs are one-time consumable purchases:
  • 50 minutes — USD 0.99
  • 120 minutes — USD 1.99
• Add-ons are only purchasable while you hold an active subscription.
• Add-on minutes never expire.
• Audio duration is rounded up to the next whole minute to determine the minutes billed against your balance.

5. Refunds

Subscriptions and add-on packs are purchased through the Apple App Store. Refunds are handled by Apple, in accordance with Apple's policies, at reportaproblem.apple.com. See our Refund Policy for full details.

6. Transcript storage & retention

Transcripts are stored on our backend so that you can read them again from the in-app library and continue working across sessions. To minimise the amount of personal content we hold, transcripts are automatically deleted 30 days after creation. The app exposes Copy, Share and Export controls immediately after every transcription so you can keep the text you want before that window closes. The audio file you uploaded is never persisted on our server — see the Privacy Policy for details.

7. Acceptable use

You agree not to:

• Upload audio that you do not have the legal right to record, transcribe or process (including recordings made without the consent required by your local law).
• Use the Service to process material that infringes intellectual property, publicity or privacy rights of others.
• Attempt to disrupt the Service, abuse rate limits, or bypass the trial / billing controls.

We may suspend or terminate an account that breaches these rules. Termination for cause does not entitle you to a refund of the unused portion of the subscription.

8. Intellectual property

You retain all rights to the audio you upload and to the transcripts produced for you. KALI INDIE retains all rights in the Service, the brand, the iOS application and the backend code.

9. Disclaimers & limitation of liability

The Service is provided without warranty of any kind, whether express or implied. Transcripts are produced by an automated system and may contain errors. You must review them before relying on them for legal, medical, or any other consequential purposes.

To the maximum extent permitted by applicable law, KALI INDIE's aggregate liability for any claim arising out of or in connection with the Service is limited to the amount you paid to us in the twelve months preceding the event giving rise to the claim. In no event are we liable for indirect, incidental, special, consequential or punitive damages.

10. Account deletion

You can delete your Kali Transcribe account and the personal data associated with it at any time. See the Account Deletion page for the in-app and email procedures.

11. Governing law

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-laws principles. Mandatory consumer-protection rights granted by the laws of your country of residence remain unaffected.

12. Changes

We may update these Terms when the Service changes. Material changes will be communicated in-app or by email if available; continued use of the Service after the effective date constitutes acceptance of the updated Terms.
